Job Description
With constant legislative, regulatory and judicial changes, companies operating across borders are challenged to follow and comprehend ever-changing developments. At the same time, globalization, economic realities, operational adjustments, and corporate mandates require tax departments to adjust and adapt their internal initiatives to a changing business environment. The combination of these equally important streams requires tax departments to be agil, well-versed in internal and external developments, and able to deal with competing goals and interests. Understanding the tax impact on business operations and transactions across jurisdictions is vital to the success of any multinational corporation today.

The Washington National Tax Services (WNTS) Mergers and Acquisitions (M and A) group is comprised of subject matter specialists in the areas of Corporate and Partnership Tax M and A. The group advises multinational corporations, privately held companies, and partnerships on the tax aspects of planning, structuring, and executing transactions of all sizes including but not limited to the following:

-analyzes proposed restructuring and acquisition transactions;

-interprets complex statutory and regulatory actions relating to corporate and partnership transactions;

-performs quantitative analysis to assess the tax consequences of specific transactions;

-assist clients with regulatory and legislative initiatives;

- and, prepares for client review submission requests for private letter rulings and technical advice from the IRS.

Position/Program Requirements
Minimum Year(s) of Experience: 0 years of experience


Minimum Degree Required: Bachelor's degree


Certification(s) Required: CPA or commitment to pass CPA exam before being promoted to Manager and thereafter obtain CPA licensure, Enrolled Agent or Member of the Bar


Degree Preferred: Juris Doctorate (JD) or Master of Laws (LLM) degree with a minimum GPA of 3.5, along with two years of Law Clerk or Tax Court experience


Knowledge Preferred:

Demonstrates proven considerable knowledge of M&A practices as it pertains to a global network of professional services consulting firms and its clients, emphasizing the following areas:

- Corporate M&A, private equity, post deal integration, bankruptcy and corporate insolvency; and,
- Tax consulting services, transaction structuring for tax issues, restructuring, due diligence, strategy formulation, financial modeling and tax planning.


Skills Preferred:

Demonstrates considerable technical skills and M&A practices as it pertains to a global network of professional services consulting firms and its clients, emphasizing the following areas:

- Applying and interpreting U.S. federal income tax law as it relates to Sub-Chapter C corporations, Sub-Chapter S corporations, partnerships, consolidated groups, corporate bankruptcies and insolvencies, tax efficient structuring and use of debt, the reorganization provisions of the Internal Revenue Code, technical writing and reviewing of opinion letters and memoranda and tax due diligence exercises;

- Identifying and addressing client needs: actively participating in client discussions and meetings; communicating a broad range of Firm services; managing engagements including preparing concise, accurate documents and balancing project economics management with the occurrence of unanticipated issues;

- Leading teams through creating a positive environment by monitoring workloads of the team while meeting client expectations and respecting the work-life quality of team members; providing candid, meaningful feedback in a timely manner; and keeping leadership informed of progress and issues.
